These Terms and Conditions ("Terms") govern your access to and use of Redberry Cloud's services, including our AI automation consulting, implementation, and support services (collectively, the "Services").
By engaging with Redberry Cloud, accessing our website at redberrycloud.com, or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Services Description
1.1 Scope of Services
Redberry Cloud provides AI-powered business automation services, including but not limited to:
- Lead & Follow-Up Automation
- Customer Support Automation
- Internal Workflow Automation
- CRM & Sales Automation
- Review & Reputation Management Automation
- Appointment & Reminder Automation
1.2 Service Delivery
Services are delivered in phases as outlined in your specific Service Agreement or Statement of Work (SOW). Timelines, deliverables, and specifications are detailed in your customized project documentation.
1.3 Custom Solutions
All automation solutions are customized to your specific business needs. The exact scope, features, and functionality will be defined in your project proposal and agreed upon before implementation begins.
2. Service Agreements and Contracts
2.1 Binding Agreements
When you engage Redberry Cloud, you will receive a detailed Service Agreement outlining deliverables, timelines, payment terms, support terms, IP provisions, and confidentiality.
2.2 Acceptance
Your acceptance of a proposal (via email, signature, or payment) constitutes acceptance of these Terms.
2.3 Modifications
Changes to scope or pricing must be agreed upon in writing via a Change Order.
3. Payment Terms
- Pricing: Outlined in your custom proposal. Setup fees typically required upfront.
- Schedule: Setup projects are typically 50% upfront, 50% upon completion. Monthly services billed on the 1st.
- Methods: Bank transfer, Credit/Debit cards, PayPal.
- Late Payments: May incur 1.5% fee per month. Services suspended if 30+ days overdue.
- Taxes: Fees exclusive of taxes. You are responsible for applicable taxes in your jurisdiction.
4. Client Responsibilities
You agree to provide timely access to systems/data, accurate business info, a point of contact, and timely feedback.
You are responsible for maintaining active third-party accounts (CRM, etc.) and complying with all applicable laws (GDPR, CAN-SPAM, etc.).
5. Intellectual Property Rights
You Own
- Your business data & content
- Your branding & logos
- License to use custom systems upon payment
We Retain
- Proprietary methodologies
- Pre-built automation templates
- Our code & infrastructure
6. Confidentiality
Both parties agree to protect confidential information (strategies, customer data, trade secrets). We implement industry-standard security measures. See Privacy Policy for details.
7. Service Level and Uptime
We strive for 99.9% uptime but are not liable for third-party outages. Support response times are defined in your Agreement (Standard: 24-48h, Priority: 4-8h).
8. Warranties and Disclaimers
Services are performed with skill and care. However, they are provided "AS IS" without other warranties. We do not guarantee specific revenue results, as business outcomes depend on many factors.
9. Limitation of Liability
Important Legal Notice
To the maximum extent permitted by law, Redberry Cloud's liability is limited to the amount paid in the preceding 12 months. We are not liable for indirect or consequential damages (loss of profits, data, etc.).
10. Indemnification
You indemnify us for claims arising from your use/violation. We indemnify you for IP infringement claims regarding our systems.
11. Term and Termination
Client Termination: Monthly (30 days notice), Annual (per contract terms).
Our Termination: For non-payment (30 days) or breach (15 days).
Upon termination, outstanding fees are due. You receive final data exports. Confidentiality survives.
12. Refund Policy
Key Point: We offer a 30-day satisfaction guarantee on setup projects. Monthly service fees are non-refundable once rendered.
13-15. General Legal Provisions
Changes: We may update terms; continued use implies acceptance.
Disputes: Informal resolution first (30 days). Governed by laws of Gujarat, India. Jurisdiction in Rajkot courts.
Entire Agreement: These Terms + Service Agreement constitute the full agreement.
